Data current as of July 2026. Verified against Florida state sources on the dates shown.

Filing fee: $125 · Standard processing: About 5 business days online (Sunbiz). · Expedited: Florida does not publish a separate paid expedite tier for LLC Articles of Organization; online filings already go through Sunbiz's standard queue.

The steps

  1. Choose and check your LLC name ($0) — Search Sunbiz to confirm availability.

  2. Appoint a registered agent ($0) — A Florida-resident individual or authorized entity with a Florida street address; the agent must sign the application.

  3. File Articles of Organization ($125) — $100 Articles of Organization fee plus $25 registered agent designation fee, filed together through Sunbiz.

  4. Get an EIN from the IRS ($0) — Free federal step.

  5. File your Annual Report each year ($138.75/yr) — Due January 1 - May 1 each year; $400 late fee applies after May 1.

Veteran fee waivers

We found no Florida veteran-specific formation fee waiver on the state's official pages as of July 2026. The standard steps above still apply.

Registered agent

Florida requires a registered agent with a physical Florida street address (no P.O. boxes) who is available during business hours; an entity cannot serve as its own registered agent.

Do it yourself: An LLC member or manager can serve as the registered agent personally if they have a Florida street address.

The free LLC Formation Guide walks these steps interactively — costs, waivers, and the proof documents, state by state.
