Filing fee: $200 · Standard processing: About 7 business days (times vary; online filing gives an immediate receipt but not instant approval). · Expedited: 24-hour +$25; same-day +$75; 2-hour +$150.

The steps

  1. Choose and check your LLC name ($0) — Search the NY Department of State corporate database.

  2. File Articles of Organization ($200) — The Secretary of State is automatically designated as agent for service of process on every NY LLC filing.

  3. Publish notice of formation (varies by county) — Within 120 days, publish a copy of the Articles (or a notice) in two newspapers designated by the county clerk, once weekly for 6 consecutive weeks. Cost varies by county and is not set by the state (LLC Law §206).

  4. File the Certificate of Publication ($50) — Submit with both newspapers' affidavits of publication.

  5. Adopt an operating agreement ($0) — Required within 90 days of filing; not filed with the state.

  6. Get an EIN from the IRS ($0) — Free federal step.

Veteran fee waivers

We found no New York veteran-specific formation fee waiver on the state's official pages as of July 2026. The standard steps above still apply.

Registered agent

Every New York LLC automatically has the NY Secretary of State as its statutory agent for service of process — this is mandatory, not optional. An LLC may additionally designate its own registered agent under LLC Law §302.

Do it yourself: The Secretary of State already serves as your LLC's agent for service of process at no extra cost — you're not required to hire or name a separate registered agent, though you may optionally add your own under LLC Law §302.

The free LLC Formation Guide walks these steps interactively — costs, waivers, and the proof documents, state by state.
